Overview
The Proxy Analyst at Egan-Jones Proxy Services plays a key role in analyzing shareholder meeting materials, evaluating corporate governance practices, and producing informed proxy voting recommendations. This position requires strong analytical ability, attention to detail, and knowledge of corporate governance principles and financial markets.
Key Responsibilities
- Review and analyze proxy statements, annual reports, and related filings (e.g., DEF 14A, 10-K).
- Assess proposals related to director elections, executive compensation, mergers, shareholder proposals, and corporate governance issues.
- Apply Egan-Jones’ proprietary voting guidelines to develop recommendations for institutional clients.
- Conduct research on company performance and governance practices.
- Track upcoming shareholder meetings and ensure timely delivery of analyses.
- Collaborate with the governance research team to ensure consistency and accuracy of recommendations.
- Monitor regulatory developments affecting proxy voting and corporate governance.
- Prepare written reports and summaries outlining the rationale behind voting recommendations.
- Support clients with inquiries regarding research and voting outcomes.
